Draft for COBOLYNK to approve. It describes how the service works today; it is not yet in force.

Legal

Terms of service

These terms govern your use of Merchant, provided by COBOLYNK (business name no. BN323771026, Ghana). "We" means COBOLYNK; "you" means the business that opens a shop. Buyers who order from a shop deal with that shop, under the shop's own terms.

Opening a shop

  • You sign up with an email address that you control. We review every new shop before it opens, and may decline one, telling you why.
  • To take payments online, you give us a bank or Mobile Money account in your business's name. We verify it with our payment provider, Paystack, and online payments wait until it is verified. You can take cash meanwhile.
  • You must sell only what you may lawfully sell in Ghana and what Paystack allows, and describe it honestly.

Fees

  • There is no subscription or setup fee.
  • We charge a commission on each online sale, 2.5% unless we agree a different rate with you in writing. We tell you when a rate changes, and a week before an agreed rate ends.
  • Cash sales carry no commission.
  • The Mobile Money payment charge, Paystack's fee (currently 1.95%), is added to what the buyer pays, unless you choose to absorb it, in which case it comes out of our commission; if we agree a rate below the charge, your share covers the rest.

Getting paid

  • Online payments are split by Paystack when they are made. Your share goes to your verified account, normally the next working day. We never hold your share.
  • Your Earnings screen and statements show every payment, our commission and your share.

Orders, refunds and chargebacks

  • You are the seller. You are responsible for your products, your prices, delivering what you sold, and refunding buyers when you cancel an order or a buyer is owed money.
  • How cancellations, lapsed payments and courier deliveries work is set out in our refund and cancellation policy.
  • If a buyer's bank takes back a payment (a chargeback), you owe us what you were paid for that sale, and we agree with you how to settle it.

Delivery through us (coming soon)

When courier delivery opens and you book our courier, the buyer pays the delivery fee to us, and we pay the courier. If you cancel a pickup after the courier was booked, you pay what the courier charged, the payment charge we lose and a handling fee of ₵2.00.

Pausing, suspending and closing

  • The shop's owner may close it at any time once no orders are on the way, no buyer is owed money, no payment is still pending and no rider holds the shop's cash, using a code sent to a phone verified at least 7 days earlier.
  • We may pause online payments, or suspend a shop, to protect buyers or comply with the law or our payment provider's rules, for example after repeated disputes. We tell you when we pause payments, and we contact you if we suspend your shop.
  • A closed shop's data is kept for 30 days and then deleted, except payment records we must keep.

Our responsibility

We work to keep Merchant available and correct, but we do not promise it will never be interrupted. We are not responsible for a buyer's or a shop's own conduct. Nothing in these terms limits rights you have under Ghanaian law.

Changes and contact

We will tell you before these terms change in a way that affects you. These terms are governed by the laws of Ghana. Questions: contact@cobolynk.com.
